TERMS AND CONDITIONS OF USER AGREEMENT OF REPLAY TOYSABOUT REPLAY TOYS1.1. https://www.replaytoys.co.za/ is an online marketplace (“the Platform”) that enables registered users to buy and sell products and create their own e-shops.1.2. The Platform is operated by Replay Toys. Contact email: support@replaytoys.co.za.1.3. By registering as a user of the Platform (“User”), you confirm that you have read, understood, and agreed to these Terms and Conditions (“Terms”) and undertake to abide by them.1.4. These Terms outline the rules for using the Platform. Please read them carefully before proceeding. By continuing to use our Platform, Replay Toys assumes you have accepted these Terms.1.5. The terms “User,” “Seller,” and “Buyer” are used interchangeably in this document and refer to any individual accessing the Platform for the purpose of purchasing or selling goods. Similarly, the terms “Replay Toys,” “we,” or “our” refer to Replay Toys and its legal representatives.CREATING A USER ACCOUNT2.1. To use the Platform, Users must register and log in using either their Facebook, Google account.2.2. Users must keep their login credentials confidential and prevent unauthorized access by third parties.2.3. Users are responsible for all activities occurring under their registered account. If account misuse is suspected, the User must notify support@replaytoys.co.za immediately.2.4. Each User is allowed only one registered account. The creation of multiple accounts using different names, devices, or identities to manipulate the Platform is strictly prohibited. Replay Toys reserves the right to deny, suspend, or terminate accounts suspected of fraudulent, abusive, or unethical activity.2.5. By providing personal information to Replay Toys, Users confirm that they are either acting on their own behalf or have the authority to act on behalf of another party. Users are responsible for the accuracy of the data they provide and any actions taken under their account. Please refer to Replay Toys’ Privacy Policy for more details on how personal data is handled.HOW DOES REPLAY TOYS WORK?3.1. The Platform allows Users to:Open a digital store on the Platform;Sell goods via the Platform;Browse, favourite, and purchase items from other Users;Communicate with other Users through private messaging/emailing; andShare product listings on social media.3.2. Replay Toys facilitates payment processing for transactions between Users. Buyers can complete purchases using EFT, credit card payments, or other available payment methods.3.3. Sellers authorize Replay Toys to act as their limited payment agent to accept payments on their behalf.3.4. All transactions on the Platform are conducted in South African Rands (ZAR).3.5. Purchase & Sale Process:A Buyer selects an item and completes payment through an available method.The payment is securely held by Replay Toys as the Seller’s payment agent.The Seller ships the item via the Buyer’s selected shipping option or another agreed-upon method.The Seller marks the item as shipped on the Platform and provides a tracking number if applicable. (For integrated courier options, shipment is marked automatically.)The Buyer confirms receipt of the item by selecting “Item received” on the Platform and verifies satisfaction with the product.Replay Toys releases the payment to the Seller’s Replay Toys wallet, completing the transaction.To withdraw funds, the Seller must initiate a payout request to their bank account. Replay Toys processes payouts within 1-3 business days, provided the banking details are valid.3.6. Invoices for payments made on the Platform are available upon request.3.7. Replay Toys reserves the right to impose transaction limits and to suspend transactions if payments fail or are subject to chargebacks.3.7. The User’s right to purchase on the Platform is subject to any limits Replay Toys or our credit card issuer may establish. If payment cannot be charged to the User’s payment card or a charge is returned for any reason, including chargeback, Replay Toys reserves the right to suspend or terminate the transaction.SERVICE FEES FOR BUYERS AND SELLERS
4.1. Opening a shop and adding items to the Platform is free of charge. A service fee of 10% (ten percent) for each sale is charged to the Seller for selling items through the Platform.4.1.1. The Seller chooses shipping service provider(s) when listing an item on the Platform.4.2. If the order is cancelled due to the item not having been shipped, then the full amount, including the Buyer Protection fee, is refunded to the Buyer.4.3. If the order is canceled in accordance with 13 (Buyer has the right to return the item), then the full amount, including the Buyer Protection fee, is refunded to the Buyer.4.4. Replay Toys has the right to deduct the Buyer Protection fee from the User’s account if the order is cancelled in violation of the Terms.TRANSACTION SECURITY
5.1. To protect the interests of the Users of the Platform, the entire sales process must take place on the Platform. The Buyer must use only the payment methods and methods of transportation available or listed on the Platform. The Buyer can pay for the goods through one of the payment methods available on the Platform.5.2. The Platform protects both the Buyer and Seller from potential fraud as follows:5.2.1. After the purchase is made, the amount paid for the goods is deposited into the account of Replay Toys until the order is complete.5.2.2. The Seller confirms the shipping or delivery of the goods by clicking the ‘Item shipped’ button for the respective order. If the goods are sent using an integrated courier method, the order is marked as shipped automatically when the goods have been sent.5.2.3. After the goods have been shipped, Replay Toys will wait for the Buyer to confirm the receipt of the goods.5.2.4. Once the Buyer has confirmed the receipt of the goods by clicking on the ‘Item received’ button in the corresponding order and confirmed in the following pop-up that they are satisfied with the goods and agree to release the funds to the Seller’s Replay Toys wallet, Replay Toys will release the funds to the Seller’s account.5.3. To enhance clarity and minimize potential disagreements between Buyer and Seller, we encourage the parties to communicate with each other through the Platform. Prior to purchase, it is recommended that the Buyer and Seller disclose all relevant information about the goods and that any questions or concerns are addressed in a timely manner.PAYMENTS
6.1. Replay Toys allows transactions on the Platform that take place within the Republic of South Africa. All Sellers are therefore required to provide the details of a valid South African bank account to receive payout payments from the Platform.6.2. Replay Toys and its payment service providers are compliant with all applicable Anti-Money Laundering and Counter-Terrorism Financing (“AML/CTF”) regulations, including the Financial Intelligence Centre Act 38 of 2001 (“FICA”). A User’s ability to make use of the Platform may therefore be regulated by such laws and the respective rules and regulations.6.3. Replay Toys may, at various times and depending on a range of factors in its sole discretion, including a request for an international payment and/or the exact nature of the User, require that a User submit certain information to Replay Toys and/or its authorized third-party service providers in order for the User to be verified as not infringing any of Replay Toys’ AML/CTF requirements and/or local or foreign laws. This information may include identity documents, passport documents, and/or bank account information.6.4. Replay Toys reserves the right to withhold any payment and limit or terminate a User’s access and use of the Platform should the User fail to adhere to these requirements to the standard required by Replay Toys. Replay Toys also reserves the right to share this information with any legal authority when required under applicable laws.SHIPPING
7.1. The Seller is expected to ship an item as soon as possible and always within 5 (five) calendar days, unless agreed upon otherwise. In order to confirm the shipping of the goods, the Seller must click on the ‘Item shipped’ button for the respective order, unless an integrated shipping method is used and the status of the order is marked as shipped automatically.7.2. The Buyer has up to 48 (forty-eight) hours after collecting the goods to confirm the receipt of the goods on the Platform or submit a claim (see clause 13). To confirm the receipt of the goods, the Buyer must click on the ‘Item received’ button for the respective order and confirm in the following pop-up that they are satisfied with the goods and agree to release the funds to the Seller’s account.7.2.1. If the Buyer has not confirmed the receipt of the goods or submitted a claim within 48 (forty-eight) hours after collecting the goods in accordance with 9.15 (Buyer has the right to return the item), then Replay Toys has the right to complete the order on the Buyer’s behalf.7.2.2. Replay Toys will check the tracking information provided by the Seller, and if this information is sufficient for completing the order, Replay Toys will release the funds to the Seller’s Replay Toys wallet. If the tracking information is insufficient or unclear about the delivery of the goods, Replay Toys will contact the Buyer via the email address connected to the Buyer’s account and ask them to confirm the receipt of the goods or submit a claim within 48 (forty-eight) hours. If the Buyer does not respond within this period, then the goods are considered received and Replay Toys will complete the order accordingly.DISCLAIMER OF LIABILITY WITH RESPECT TO SALES
8.1. Replay Toys is not the owner or seller of any goods sold on the Platform and does not participate in sales, purchases, or other transactions that occur between Users of the Platform.8.2. Sale agreements are concluded between the Users of the Platform without the representation and mediation of Replay Toys. Users are fully responsible for the execution of their sale agreements, which are private transactions between these parties.8.3. Complaints, queries, and claims regarding goods on the Platform must be submitted directly to the Seller by using the messaging system on the Platform. Replay Toys is not responsible for resolving any disputes between the parties to a sales transaction.8.4. Replay Toys does not inspect nor ensure any guarantee for the goods sold on the Platform and does not review nor check the quality or suitability of the goods sold or the compliance thereof with the description entered by the Seller.8.5. Replay Toys is not liable for the truthfulness and lawfulness of the information published by a User on the Platform or for a User’s inappropriate or unlawful behavior.8.6. Replay Toys is not liable for damages due to improper or inadequate packaging of any goods by the Seller. Additionally, Replay Toys holds no responsibility for delays, parcel damages, or losses incurred during shipment, whether by shipping services utilized by Platform Users. All claims related to shipments must be submitted directly to the respective shipping services.RIGHTS AND OBLIGATIONS OF THE USER
9.1. The User confirms that they are above the age of majority and have the legal capacity to understand, agree with, and be bound by these Terms. If the User is under the age of majority, they warrant that they have obtained the consent of their parent or guardian to use the Platform, who understands that they will be responsible for all actions performed by the User on the Platform and any associated expenses.9.2. When using the Platform the User undertakes to provide completely accurate information, including true data regarding the quality and condition of the goods sold, as well as any other details that may affect the Buyer’s decision to purchase an item.9.3. To use the Platform, including making sales transactions, the User must enter a valid email address and remain accessible via email.9.4. The User agrees to conduct only legal purchase and sales transactions through the Platform.9.5. The User undertakes to ensure that their activities do not infringe on the property rights or moral rights (including intellectual property) of any third parties.9.6. The User agrees to comply with all applicable laws, including regulations concerning consumer protection, competition, and the export and import of goods.9.7. The User undertakes to ensure that their actions comply with the law and good practices. The User shall not:9.7.1. Act in a threatening, harassing, abusive, racist, sexist, or discriminatory manner;9.7.2. Promote sexually explicit material;9.7.3. Act violently or discriminatorily based on race, sex, religion, nationality, disability, sexual orientation, age, or any other listed category;9.7.4. Publish personal data or breach another User’s privacy rights;9.7.5. Share or promote unlawful, false, or inaccurate information;9.7.6. Engage in impolite or repressive communications with other Users;9.7.7. Use the Platform in bad faith.9.8. The User undertakes to ensure that the items uploaded to their shop comply with the law and good practices and are not Prohibited Items (as defined below in clause 10).9.9. Own Images9.9.1. The User must ensure that item descriptions and uploaded images accurately depict the item. The item must be represented as is, without alterations using image-editing software. The User is encouraged to highlight any defects, scratches, or wear to allow Buyers to assess the item’s condition before purchase.9.9.2. The pictures uploaded must be original photos of the actual item and not sourced from the internet or other sources.9.9.3. AI-generated images or any other software-altered images are not allowed.9.9.4. Uploaded images must not infringe on any third party’s intellectual property rights.9.10. Item Description9.10.1. The description should not include unrelated information such as advertisements, spam hashtags, spam brands, or attempts to direct sales outside the Platform.9.10.2. Each item must be uploaded separately under its corresponding category. Only one listing per item is allowed.9.10.3. The User must describe any defects, alterations, or missing parts of the item in the description.9.10.4. Users are prohibited from listing unavailable or already sold items or from uploading misleading or disruptive listings.9.10.5. Users must ensure that all listed items are authentic and not counterfeit or grey-market goods. Users cannot disclaim responsibility by stating they are unsure of an item’s authenticity.9.11. Parcel Delivery9.11.1. The Seller must ensure that the item sold fits the parcel size of the available delivery option (excluding bundling) and is safely packaged. The Seller is responsible for any damage occurring in transit.9.11.2. When using courier services, the Seller agrees to comply with the respective shipping and packaging policies of these services.9.12. The User acknowledges that the responsibility to declare and pay taxes (including value-added tax and income tax) on transactions rests solely with the User. Replay Toys assumes no responsibility in this regard.9.13. The User acknowledges that if third parties gain access to their IT equipment while logged into the Platform, those third parties may assume obligations on behalf of the User, for which the User is responsible.9.14. Users are responsible for fulfilling their sales agreements. Complaints and queries related to sold goods must be directed to the Seller via the Platform’s messaging system.9.15. The Seller agrees to accept returns if the Buyer, within 48 hours of receipt, finds the item significantly different from its description or photos (see clause 13).PROHIBITED GOODS
10.1. Replay Toys reserves the right to determine what items are and aren’t allowed for sale on the Platform.10.2. Counterfeit items, which imitate a trademark without authorization, are strictly forbidden.10.3. Replay Toys may remove any item violating its Terms or posing risks to Users.10.4. Users cannot sell the following items:10.5.1. Items prohibited under South African law;10.5.2. Medicines, medical devices, and healthcare products;10.5.3. Motorized vehicles;10.5.4. Counterfeit or unauthorized copies;10.5.5. Samples, testers, or promotional items not intended for sale;10.5.6. Drop-shipping;10.5.7. Food and beverages, including alcohol;10.5.8. Smoking paraphernalia;10.5.9. Offensive material;10.5.10. Firearms, weapons, and military items;10.5.11. Adult-only material and nudity;10.5.12. Advertisements;10.5.13. Vouchers, gift cards, digital goods;10.5.14. Drugs and drug paraphernalia;10.5.15. Animals and any animate objects10.5.16. Locked phones.10.5.17. Clothing10.5.18. Items that are not second-hand10.6. Replay Toys reserves the right to review transactions and conversations on the Platform and suspend or remove accounts of Users knowingly selling Prohibited Items.10.7. Replay Toys may provide account information of Users found guilty of selling Prohibited Items to relevant authorities or intellectual property owners.10.8. Users acknowledge that selling counterfeit goods may result in civil or criminal proceedings, for which Replay Toys holds no responsibility.RIGHTS AND OBLIGATIONS OF REPLAY TOYS
11.1. Replay Toys reserves the right to restrict or revoke access, remove listings, cancel sales, refund payments, or close User accounts for violations of these Terms.11.2. Replay Toys monitors Platform activity and may remove or hide inactive or non-compliant listings.INTELLECTUAL PROPERTY
12.1. All intellectual property on the Platform belongs to Replay Toys or its licensors.12.2. Users retain ownership of their intellectual property but grant Replay Toys a license for use in Platform operations and promotions.12.3. Users agree that Feedback provided to Replay Toys is its exclusive property.12.4. Users may not use, copy, or distribute Platform content without prior consent. 12.5. Replay Toys reserves the right to make updates or changes to the intellectual property, information, videos, graphics, and other content on the Platform, or to suspend or terminate the Platform, at any time without prior notice. However, any transactions or actions that have already been completed will not be impacted by such suspension or termination (as applicable).12.6. In cases where intellectual property has been licensed to Replay Toys or belongs to a third party (“third-party IP”), all usage rights are subject to the terms and conditions imposed by the respective licensor or third party. The User agrees to adhere to these third-party terms. If there is a conflict between the third-party IP’s licensing terms and these Terms, the terms of the third-party IP will prevail only in relation to that specific third-party IP. Replay Toys disclaims all responsibility for any third-party components used on the Platform. The User acknowledges that Replay Toys is neither the creator, owner, nor licensor of any third-party IP and, therefore, makes no representations or warranties regarding the quality, functionality, performance, or suitability of any third-party IP. Under no circumstances will the Platform or any part of it (excluding any third-party IP contained therein) be considered “open source” or “publicly available” software.12.7. Should the User be in breach of these provisions, Replay Toys and/or the rightful intellectual property rights owner may institute legal action against the User for a breach of contract, resulting in a claim of damages against the User.RETURNS AND COMPLAINTS
13.1. Complaints about Replay Toys services should be submitted to support@replaytoys.co.za.13.2. Buyers must report discrepancies in items within 48 hours of receipt to initiate a return.13.3. Unresolved disputes between Buyers and Sellers may be mediated by Replay Toys but remain the responsibility of the Users.PROCESSING PERSONAL DATA AND PRIVACY POLICY
14.1. Replay Toys collects only such personal data from the User that arise during the use of the Platform pursuant to the User’s activities on the Platform. Such data is, for example, data in the User’s profile, information provided during the sale of a product, and data saved from all other activities provided on the Platform (saving a product/another User, making a purchase, sending messages, etc.).14.2. Replay Toys has the right to process data that Replay Toys has received from the User when logging into the Platform and that Replay Toys has asked for during the use of the Platform or which is collected about the User when otherwise using the Platform for the purposes and to the extent specified in these Terms.14.3. The User consents to Replay Toys processing their personal data for the purposes and to the extent specified in these Terms. The User has the right to withdraw the consent at any time, request the termination of the processing of personal data and the deletion or closure of the collected personal data, as well as the closure of the User account. The User can request the deletion or closure of the collected personal data, as well as the closure of the user account by contacting Replay Toys at support@replaytoys.co.za.14.4. Replay Toys uses the User’s personal data to provide, develop, and personalise the Platform’s services.14.5. Replay Toys has the right to use the User’s personal data and transfer them to third parties selected by Replay Toys to cooperate with them to ensure the quality and availability of Replay Toys services, as well as expand, improve, and otherwise develop the services offered by Replay Toys.14.6. Replay Toys is the handler of personal data; Replay Toys transfers the personal data necessary for making payments to its authorised payment processors and other service providers, which process personal data according to the rules prescribed for payment services.14.7. The User always has the right to ask questions related to the processing of the User’s personal data, and additional information by contacting Replay Toys at support@replaytoys.co.za. The User also always has the right to contact the authority supervising the protection of personal data, which in South Africa is the Information Regulator of South Africa (enquiries@inforegulator.org.za).AMENDING THE TERMS AND CONDITIONS
15.1. Replay Toys has the right to unilaterally amend these Terms at any time due to the development of the Platform and the services offered and in the interest of their better and safer use.15.2. Replay Toys undertakes to notify the User of any amendments to these Terms by means of messages, e-mails or notices published on the Platform.15.3. Amendments to the Terms take effect upon the publication of the corresponding amendment on the Platform, about which the Platform sends a notification to the User.15.4. The User confirms their acceptance of the amendments to the Terms by continuing to use the Platform after the respective amendments become effective.DISCLAIMERS
16.1. The Platform is only available on compatible devices connected to the internet. It is the User’s responsibility to obtain these devices and any connectivity necessary to use the Platform/Services. Replay Toys does not guarantee that the Platform, or any portion thereof, will function on any particular hardware or device.16.2. Without prejudice to any of Replay Toys’ other rights (whether at law or otherwise), Replay Toys reserves the right to deny the User access to the Platform where Replay Toys believes (in our reasonable discretion) that the User is in breach of any of these Terms.16.3. The Platform and Services, including intellectual property appearing therein, are provided “as is” and “as available”. Replay Toys makes no representations or warranties, express or implied, including but not limited to warranties as to the accuracy, correctness, or suitability of either the Platform, the Services, or information made available through the Platform. The User’s use of the Platform is at their sole risk unless otherwise explicitly stated.16.4. All content, information, and/or opinions of Users made available on the Platform are those of the authors and not Replay Toys. While Replay Toys makes every reasonable effort to present such information accurately and reliably, it does not endorse, approve, or certify such information, nor guarantee the accuracy or completeness of such information. Any third party who has their intellectual property or goods uploaded to the Platform shall have the right to request such information be removed.16.5. Replay Toys, its shareholders, directors, employees, and partners, accept no liability whatsoever for any loss, whether direct or indirect, consequential, or arising from information made available on (or by means of) the Platform/Services and/or transactions or actions resulting from the Platform.16.6. Replay Toys, its shareholders, directors, employees, partners, and affiliates, accept no liability whatsoever for any costs, expenses, fines, or damages, including but not limited to direct or indirect loss or damages, including any data loss, economic loss, consequential loss, loss of profits or any form of punitive damages, resulting from the facilitation and offering of the Services, and access to, or use of, the Platform in any manner, the reliance upon or use of content, information, opinions or other materials appearing on the Platform. The User expressly acknowledges and agrees that Replay Toys is not liable or responsible for any fraudulent, defamatory, offensive, or illegal conduct of other Users or third parties whether through the Platform or otherwise.16.7. The User’s sole and exclusive right and remedy in case of dissatisfaction with the Platform or Services, or any other grievance shall be the User’s termination and discontinuation of access to, or use of the Platform.16.8. Replay Toys takes reasonable security measures to ensure the safety and integrity of the Platform and to exclude viruses, unlawful monitoring and/or access. However, Replay Toys does not warrant or represent that the User’s access to the Platform will be uninterrupted or error-free or that any information, data, content, software, or other material accessible through the Platform will be free of bugs, viruses, worms, trojan horses or other harmful components. The User’s access to and use of the Platform remains solely at their own risk, and Users should take their own precautions accordingly.INDEMNITIES17.1. Users agree to indemnify and hold Replay Toys, its shareholders, employees, and partners harmless from any claims, costs, or damages arising from their use of the Platform, violation of these Terms, or infringement on any third-party rights.17.2. This indemnification clause remains effective even after termination of these Terms.DISPUTE RESOLUTION18.1. Users and Replay Toys agree to resolve disputes amicably through negotiation.18.2. If unresolved, an independent industry expert will mediate.18.3. If mediation fails, disputes fall under the non-exclusive jurisdiction of the Magistrates Court of South Africa.18.4. Neither party may publicise disputes on social media or other public platforms, as doing so may result in financial claims for damages.TERMINATION19.1. Replay Toys may terminate or restrict a User’s access for violating these Terms, with reasonable notice.19.2. Users may terminate their agreement by discontinuing to use the Platform and deactivating their accounts.19.3. Upon termination, Replay Toys will delete the User’s account and data in accordance with its data retention policies.FINAL PROVISIONS20.1. The legal relationship between the User and Replay Toys is governed by South African law.20.2. These Terms remain valid for the duration of the legal relationship between the User and Replay Toys.20.3. All communications between the User and Replay Toys occur electronically via support@replaytoys.co.za.20.4. These Terms do not establish a partnership, joint venture, or employer/employee relationship. Replay Toys provides software services only and is not responsible for private engagements between Users.20.5. If unforeseen events (e.g., natural disasters, governmental restrictions) prevent a party from fulfilling obligations, performance is suspended until conditions normalize.20.6. Replay Toys may update these Terms at any time. Continued use after updates indicates acceptance.20.7. No leniency, extension, or waiver of rights by Replay Toys shall be deemed a permanent waiver.20.8. Singular terms include the plural and vice versa; gendered terms include all genders.20.9. Section headings are for reference only and do not affect interpretation of these Terms.
